    As per the bylaws votes would have to be made in person & there is no proxy voting due to such, I'll dig up the specifics here ASAP Mark

    1) Any regular member who has not withdrawn from membership nor been suspended nor expelled as herein provided shall have the right to vote at any meeting of the society. Such votes must be made in person.
    However this is in direct regaurds to regular votes that all members of the society would be privy too, so not sure if it should apply to this case?
    This is a Board only vote & if one was present "electronically" their vote could be valid IMHO, but that would be someone elses judgement call.
    The fact there is a bylaw stating votes must be made in person IS somewhat conflicting but again special circumstances as well, anyhow...

    Proxy votes are dangerous to begin with, even if allowed. A proxy vote could be the one vote to push something into effect and can be construed as speculative, and thus the same horror show repeated.

    Be mindful that YOUR TARAS bylaws govern what you do, and are legally binding within your NFP society and registered with Alberta. You cannot use other bylaw mediums (eg. ERAS, Robert's Rules of Order) to manage your affairs. Anything exisiting that can be open for interpretation can be dangerous.

    Once you over this hump, bolstering your bylaws from what you have gained experience with recently will serve TARAS far better in the future. It is a pain and costly but legal representation is by far the best option to ensure continuity and that the best interests of TARAS are always at the forefront. Ian (Joeysgreen) is a fantastic resource to assist you in this. I have seen first hand the effort he has put into the ERAS Bylaws, and has accomplished this well, and definitely be a part of his legacy to ERAS in future years.

    As an outgoing 2 year Executive member of ERAS, I can feel your pain in this situation to a degree, and can empathize with what I have not experienced. I think TARAS wants to do the right thing here and balance certain inequities that exist, but you are being negatively affected by a nebulous set of guidelines within your By-Laws as opposed to supporting you in a time of need. As with anything, there is always an evolution, and an eventual need for change.

    Good luck, and chin up to those that remain; and I am confident that you will do the right thing next Tuesday. Only then you can put this all behind you and once again concentrate on what these societies are about - reptiles, education and community.

    Thanks, Rob. At least there's a specific reason for it. Lol. I very much look forward to moving on from here and focusing on the things that are most important to TARAS right now such as filling positions and taking a hard look at the bylaws.
